1. Agreement
These Terms govern your use of the Cadence platform, including the Shopify application and related services. By installing the Cadence app, you agree to these Terms.
2. Services
Cadence provides lifecycle marketing intelligence for Shopify merchants, including customer lifecycle predictions, marketing platform integrations, one-tap reorder carts, on-site nudges, and revenue analytics.
3. Subscription and Billing
Cadence is billed through the Shopify Billing API. Fees are charged to your Shopify account according to the selected plan.
4. Acceptable Use
You agree not to use the Services unlawfully, attempt unauthorized access, reverse engineer the Services, send spam, or resell without authorization.
5. Data and Privacy
Your use is subject to our Privacy Policy. You represent that you have necessary rights to share customer data with Cadence.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CADENCE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID IN THE PRIOR TWELVE MONTHS.
8. Termination
Either party may terminate by uninstalling the app. Data deletion follows our Privacy Policy.
9. Governing Law
These Terms are governed by the laws of the State of Delaware.
